Welcome to ChanceScout (“Platform”), a digital platform that aims to connect professional and amateur athletes (“Athletes”, “you”, “your”), sports clubs (“Clubs”), educational institutions (“Educational Institutions”) and athlete agents (“Agents”) to enhance talent and generate opportunities in the world of football, provided by CHANCE ANÁLISES ESPORTIVAS LTDA., registered with the CNPJ under no. 58.462.823/0001-19, headquartered in the City of Itu, State of São Paulo, Rua Puro Sangue Inglês, S/N, Quadras Lote 1, Bairro Kurumin, CEP 13.314-060 (“ChanceScout”, “we”, “us” or “our”, and, together with the Athlete, “Parties”).

The Platform allows Athletes to create accounts to share their profiles, plays, statistics, and careers, and to follow online tryouts, events, and other opportunities (“Services”). The Platform’s objective is to be a global tool for recognizing and observing athletes, facilitating the discovery and promotion of talent in the world of football.

Presentation of Terms of Use

Below we present our Terms and Conditions of Use (“Terms of Use”), which aim to define the conditions of use of our Services applicable to you, as an Athlete.

These Terms of Use explain how our Platform works and how we offer Services to Athletes. By registering on the Platform or using our Services in any way, you declare that you have read and agree to the Terms of Use and undertake to fully comply with them. Please be aware that the provisions herein will regulate the relationship between the Athlete and ChanceScout for the purpose of offering the Services. Please note that if you do not agree to these Terms of Use, you will not be able to use our Services.

Acceptance of the Terms of Use and/or use of the Platform constitutes acknowledgement that you have read, understood, and unconditionally accepted all provisions contained in these Terms of Use. If you have any questions, you should contact ChanceScout through the customer service channel indicated in section 13 of this document before accepting these Terms of Use.

Changes to Terms of Use

ChanceScout may amend the Terms of Use for the Services at any time. Amendments will become effective when ChanceScout posts the updated Terms of Use here or the updated terms or Supplemental Terms for the applicable Service. Your continued access to or use of the Services after such posting constitutes your consent to be bound by the amended Terms of Use.

Services Offered by ChanceScout

License

ChanceScout, through these Terms of Use, grants the Athlete a limited, temporary, revocable, non-exclusive, non-sublicensable, and non-transferable license to use the Platform, during the period of access and use of the Platform, exclusively for the use of our Services, with free features and, when available, paid features or other opportunities, upon separate subscription for an additional fee. Any rights not expressly granted by these Terms of Use are reserved by ChanceScout.

Description of Services

ChanceScout provides services that consist of providing Athletes with a Platform that allows them to share their profiles, plays, statistics, and career paths, and to connect with Clubs, Educational Institutions, and Agents to maximize their potential and opportunities in the world of football. Under these Terms of Use, the Platform may provide you with grades, scores, and ratings based on the data you provide, such as technique, athletic performance, etc.

Events

ChanceScout may hold in-person events bringing together Athletes, Agents, Clubs, and Educational Institutions (“Events”). At these Events, Athletes will undergo technical and physical performance assessments and will have the opportunity to be observed by Agents and representatives of Clubs and Educational Institutions. During the Events, Athletes’ performance data will be collected and may later be added to the Platform, at the Athlete’s sole discretion, to generate performance reports that may be made available for access in their user profile, all in accordance with applicable laws.

Early Birds Portal

ChanceScout will make available, through its website, a portal (“Early Birds Portal”), available at  www.chancescout.com , through which Users may be included in a queue for early access to the Platform, by registering on the Early Birds Portal itself.

Ownership

The Services and all rights therein are and will remain the property of ChanceScout. These Terms of Use and your use of the Services do not grant or confer upon you any right: (1) to the Services, except for the limited license granted by the Section above; or (2) to use or in any way reference ChanceScout’s business names, logos, product or Service names, trademarks or service marks.

Rules and Conditions for Using the Services

Information provided

All information required to create an Athlete account is defined on the Platform. Any information you submit as part of the registration process may be referred to in these Terms of Use as “Account Information.” By submitting Account Information, you represent and warrant that the Account Information is true, accurate, and up-to-date, and you agree to always keep your information up-to-date. You are responsible for any results or losses arising from false or failed Account Information. Submitting false or misleading Account Information may result in your ban from using the Platform, at our sole discretion.

Age

By accepting these Terms of Use, the Athlete declares:

  • Be over 18 years of age; or
  • If you are under 16, be represented by your parents and/or legal guardians in relation to your use of our Services; or
  • If you are over 16 but under 18 years of age, you must be supervised by your parents or legal guardians with respect to your use of our Services.

In any case, you must be registered with the Brazilian Federal Revenue Service, in the Individual Taxpayer Registry (CPF) associated with your account on the Platform.

Prohibitions

You may not:

  • Remove any copyright, trademark, or other proprietary rights notice from any part of the Services;
  • Reproduce, modify, prepare derivative works of, distribute, license, lease, sell, resell, transfer, display, broadcast, transmit or otherwise exploit the Services, except as expressly permitted by ChanceScout;
  • Decompile, reverse engineer, or disassemble the Services, except as permitted by applicable law;
  • Link, mirror, or crop any portion of the Services;
  • Make or launch any programs or scripts for the purpose of unduly burdening or impairing the operation and/or functionality of any aspect of the Services;
  • Attempt to gain unauthorized access to the Services or disrupt any aspect of the Services or their related systems or networks.

You will not upload, distribute, or otherwise publish through the Services any content, information, or other materials that:

  • Violate or infringe the copyrights, patents, trademarks, trade secrets, image and voice rights, or other property and/or ownership rights of third parties;
  • Constitute defamation by oral or written means, are threatening, obscene, indecent, pornographic or offensive, or that may give rise to civil or criminal liability under local or international law;
  • Violate the privacy, data protection, reputation and honor of third parties;
  • Violate any applicable law or regulation;
  • Are fraudulent, false, misleading or misleading, including “trolling”;
  • Promote discrimination, racism, hatred, harassment or harm against any third party or group;
  • Are violent, constitute bullying, or promote violence, terrorism, or threatening actions toward any person or entity;
  • Promote illegal or harmful activities or substances;
  • Harm or attempt to harm minors in any way;
  • Contain bugs, logic bombs, viruses, worms, trap doors, Trojan horses or other malicious or technologically harmful code, computer programs or properties.

Platform Security and Stability

In the event of degradation or instability of the Platform, an emergency, force majeure, or exposure to a critical security vulnerability, or if the Platform is subject to attacks or technical failures beyond ChanceScout’s reasonable control, whether as a result of the conduct of the Athlete, third parties, or otherwise, ChanceScout may, at its sole discretion, temporarily suspend the Athlete’s access to the Platform and the Services, providing prior written notice whenever possible.

The Services depend on the availability of the internet, including networks, cable facilities and equipment that are not under the control of ChanceScout.

Any representation made by ChanceScout regarding the access, performance, speed, reliability, availability, use or consistency of the ChanceScout Platform and Services is based on commercially reasonable efforts.

Intellectual Property and Ownership

All intellectual property rights relating to the Platform and Services, as well as all their functionalities, are the exclusive property of ChanceScout or are licensed by ChanceScout, including with regard to their texts, images, layouts, software, codes, results of training artificial intelligence tools, databases, graphics, articles, photographs, brands and other content produced directly or indirectly by ChanceScout (“Content”).

The Content is protected by Brazilian copyright and industrial property laws. You may not use ChanceScout Content for any purpose without our prior written consent.

On the Use of Artificial Intelligence

The Athlete acknowledges and agrees that the provision of the Services by ChanceScout may involve the use of artificial intelligence tools, whether their own or third parties, to carry out analyses, including scoring and ratings regarding users regarding technique, sporting behavior, among others.

Furthermore, the Athlete acknowledges that the data provided to ChanceScout may be used for machine learning purposes and to enhance the service capabilities of artificial intelligence, in order to refine the Platform Services.

Third Party Links and Resources

Our Platform may contain links to third-party websites that are not owned or controlled by us. References on our Platform to any third-party names, brands, products, or services, or links to third-party websites or information, are not an endorsement, sponsorship, or recommendation of the third party or its information, products, or services.

We have no control over, assume no responsibility for, and do not endorse or verify the content, privacy policies, or practices of any third-party websites or services, including, but not limited to, any third-party social media platform or mobile application with which the Services operate or otherwise interact. ChanceScout is not responsible for the acts or omissions of any operator of any website or platform. Your use of any third-party website or platform is at your own risk and will be governed by the third-party’s terms and policies (including their privacy policies). We make no warranties or representations about the accuracy, completeness, or timeliness of any content posted on our Platform by anyone other than ChanceScout. We recommend that you read all third-party terms and conditions and privacy policies.

Events Beyond Our Control

We will not be liable for any failure to perform, or delay in performance of, any of our obligations under the Terms of Use or other agreements caused by events beyond our reasonable control (“Force Majeure”). Force Majeure shall include any act, event, failure to exercise, omission, or accident beyond our reasonable control, including, without limitation, the following:

  • Inability to use public or private telecommunications systems;
  • Acts, decrees, legislation, regulations, sanctions or restrictions of any government or public authority.

It should be understood that our obligations arising from the Terms of Use or other contracts are suspended during the period in which Force Majeure remains in effect.

User Responsibility

You are solely responsible for:

  • Use the Platform ethically, in accordance with the Terms of Use and other policies made available by ChanceScout on the Platform and in compliance with laws and regulations;
  • Have devices and equipment compatible with our Services, internet connection service with antivirus and firewall enabled.

ChanceScout’s Responsibility

The license and services made available under these Terms of Use are provided “as is” and “as available.” ChanceScout and its respective officers, directors, employees, and members (“ChanceScout Parties”) make no additional representations or warranties of any kind, express, implied (in fact or by operation of law), or statutory, regarding any matter whatsoever. They expressly disclaim all implied warranties of merchantability, fitness for a particular purpose, quality, accuracy, and title. They do not guarantee that the platform and services are or will be free from errors or cyberattacks.

Indemnity

You agree to indemnify and hold ChanceScout and ChanceScout Parties harmless from and against any and all third party claims, charges, losses, liabilities, and expenses (including attorneys’ fees) arising out of or related to:

  • Your use of the Services;
  • To third party services or goods obtained through the use of the Services;
  • Failure to comply with or violate any provision of these Terms of Use;
  • ChanceScout’s use of Athlete Content;
  • Violation of the rights of third parties.

Violation of Terms of Use

If you violate these Terms of Use, you may be subject to:

  • Removal or blocking of content posted by you;
  • Limitations imposed on profile privileges on the Platform;
  • Suspension or blocking of the profile on the Platform and subsequent termination thereof;
  • Termination of these Terms of Use with cancellation of your account.

If you, for any reason, believe that an Athlete, Agent or Club is violating these Terms of Use, please contact us via email at ChanceScout or through our Customer Service Platform.

Applicable Law and Jurisdiction

These Terms of Use shall be construed in accordance with the laws of the Federative Republic of Brazil. The courts of the District of São Paulo, State of São Paulo, or the courts of the user’s domicile, are hereby elected to resolve any dispute arising from these Terms of Use, with express waiver of any other court, however privileged it may be.

Any questions or requests should always be directed to the Customer Service Platform. Any other form of communication with ChanceScout outside of the designated communication channel will not be recognized.
